Terms of Service
Terms governing FileDue's payment-gated file delivery service.
1. Service Overview
These terms govern use of FileDue's file delivery paygate, payment flow, and delivery links.
FileDue is a payment-gated file delivery tool for freelancers. You upload deliverable files, set a price, and share a link. Your client pays via Stripe before the files unlock and become available for download.
By accessing or using FileDue, you agree to these Terms. If you do not agree, do not use the service.
2. Accounts and Access
You are responsible for all activity that occurs under your account or through delivery links you create.
- You must connect a valid Stripe account to activate payment collection on your delivery links.
- You must provide a valid email address to access account features.
- You must keep one-time sign-in codes, active sessions, and delivery links secure.
- You may not use the service to impersonate another person or organisation.
3. Your Content and Rights
You retain ownership of all files you upload to FileDue.
- You represent that you have the right to upload, store, and deliver the files you submit.
- You grant us the limited rights needed to host, store, and deliver your files as part of operating the service.
- You are responsible for ensuring the files you deliver are legal, accurate, and as described to your client.
- Uploaded files are stored securely and automatically deleted 30 days after payment is received.
4. Payment and Delivery
Payments are collected through Stripe Connect. Funds go directly to your connected Stripe account.
- FileDue charges a platform fee of 2% per transaction. Stripe's own card processing fees apply separately.
- Card processing is handled by Stripe under Stripe's own terms and policies. We never store or process card details directly.
- Files unlock automatically and instantly once payment is confirmed by Stripe.
- You are responsible for setting an accurate price and ensuring your files are ready before activating a delivery link.
5. Refunds and Disputes
FileDue facilitates payment between freelancers and their clients. We are not a party to the underlying service agreement between you and your client.
- Refunds are at your discretion as the seller. You may issue refunds through your Stripe dashboard.
- Chargebacks and payment disputes are handled between your client, their card issuer, and your Stripe account.
- We are not responsible for disputes arising from the quality, accuracy, or fitness of the files you deliver.
6. Delivery Links
Each delivery link is unique and single-use. Files unlock for the paying client upon successful payment.
- Treat delivery links as confidential until you are ready to share them with your client.
- You are responsible for deciding who receives a delivery link.
- We are not responsible for access caused by forwarding, copying, or publishing a valid link.
- Links and their associated files expire and are permanently deleted 30 days after payment.
7. File Deletion
Files are permanently deleted 30 days after payment. Unactivated or expired delivery links and their files are deleted automatically.
You are responsible for retaining your own copies of files you deliver. We cannot recover deleted files.
8. Acceptable Use
You may not use FileDue for unlawful, abusive, infringing, deceptive, or security-harming activity.
- No illegal content, malware, phishing, or attempts to interfere with the platform.
- No use that violates the privacy, confidentiality, intellectual property, or contractual rights of others.
- No attempts to probe, scrape, overload, or bypass platform safeguards.
- No use for delivering content that violates applicable laws in your jurisdiction or your client's jurisdiction.
9. Availability and Liability
FileDue is provided on an as is and as available basis. We do not promise uninterrupted service or permanent availability of files beyond the stated 30-day retention period.
To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or exemplary damages, including lost revenue, lost business, lost data, or client disputes arising from your use of the service.
10. Governing Law
These Terms are governed by the laws of Spain. Any disputes arising from these Terms or your use of FileDue will be subject to the exclusive jurisdiction of the courts of Spain.
11. Changes, Suspension, and Contact
We may update these Terms at any time. Continued use of the service after changes are posted constitutes acceptance of the revised Terms.
We may suspend or terminate accounts that violate these Terms or create legal, operational, or security risk.
